Terms of Service

01 Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Bastion Forge Cloud Solutions, LLC ("Bastion Forge," "we," "us," or "our"), a veteran-owned limited liability company organized under the laws of the State of Georgia.

By accessing bastionforge.tech, creating an account, or using any Bastion Forge service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

02 Description of Services

Bastion Forge provides cloud-based compliance storage and security monitoring services ("Services"), including but not limited to:

• Bastion Forge SHIELD — Immutable compliance document storage with S3 Object Lock technology, ensuring tamper-proof audit trails for regulatory compliance.
• Vallonia Agent — Automated regulatory monitoring and compliance briefing services that track changes in HIPAA, FINRA, SEC, and related regulations.
• Chiron Agent — Continuous cloud security monitoring, vulnerability scanning, and threat detection for client AWS infrastructure.
• Plutus Agent — Automated financial compliance tracking and monthly reporting services.

We reserve the right to modify, suspend, or discontinue any feature of the Services at any time with reasonable notice to active clients.

03 Eligibility and Account Registration

To use our Services, you must:

• Be at least 18 years of age
• Be a legal business entity or authorized representative thereof
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use of your account

You are responsible for all activity that occurs under your account. Bastion Forge is not liable for any loss or damage arising from unauthorized account access resulting from your failure to maintain credential security.

04 Payment Terms and Billing

Bastion Forge services are billed on a monthly recurring basis. By providing payment information, you authorize us to charge your designated payment method for all fees incurred.

• Billing Cycle: Monthly, on the anniversary of your subscription start date
• Payment Processing: All payments are processed securely through Stripe. Bastion Forge does not store credit card numbers or payment card data.
• Founding Client Pricing: Clients who join during the Founding Client period are guaranteed their initial subscription rate for the lifetime of their continuous subscription.
• Late Payments: Accounts with overdue balances exceeding 15 days may be suspended until payment is received.
• Refunds: Monthly subscription fees are non-refundable except where required by applicable law.
• Taxes: You are responsible for all applicable taxes associated with your subscription.

05 HIPAA Compliance and Data Handling

Bastion Forge serves clients in regulated industries including healthcare, legal, and financial services. Where applicable, we operate as a Business Associate under the Health Insurance Portability and Accountability Act (HIPAA).

Bastion Forge implements the following safeguards for client data:

• All data stored with AES-256 encryption at rest using AWS KMS managed keys
• All data transmitted using TLS 1.2 or higher encryption in transit
• S3 Object Lock with COMPLIANCE mode ensuring data immutability
• AWS CloudTrail logging providing a complete, tamper-proof audit trail of all data access
• Multi-factor authentication required for all platform access
• Geographic data residency in the United States (us-east-1 region)

06 Acceptable Use Policy

You agree to use Bastion Forge services only for lawful business purposes. You may not use our Services to:

• Store, transmit, or process any data in violation of applicable law or regulation
• Attempt to gain unauthorized access to any Bastion Forge system or client environment
• Introduce malware, viruses, or malicious code into our platform
• Interfere with the availability or performance of the Services for other clients
• Reverse engineer, decompile, or attempt to extract source code from our platform
• Resell or sublicense access to the Services without written authorization from Bastion Forge
• Use the Services in any manner that violates HIPAA, FINRA, SEC, or other applicable regulations

Violation of this policy may result in immediate suspension or termination of your account without refund.

07 Intellectual Property

Bastion Forge Property: All software, algorithms, AI agents (Vallonia, Chiron, Plutus), methodologies, documentation, and platform technology are the exclusive property of Bastion Forge Cloud Solutions, LLC. These Terms do not grant you any ownership rights in our intellectual property.

Your Data: You retain all ownership rights to your data stored on the Bastion Forge platform. By using our Services, you grant Bastion Forge a limited license to process, store, and transmit your data solely as necessary to provide the Services.

Feedback: Any feedback, suggestions, or ideas you provide regarding our Services may be used by Bastion Forge without compensation or obligation to you.

08 Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared in connection with the Services. Bastion Forge will not disclose your confidential business information to third parties except:

• As required by applicable law, regulation, or court order
• To our authorized subprocessors (AWS, Stripe) as necessary to provide the Services
• With your explicit written consent
• To protect the rights, property, or safety of Bastion Forge, our clients, or the public

09 Limitation of Liability

Bastion Forge shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or business interruption, even if advised of the possibility of such damages.

Bastion Forge does not warrant that the Services will be uninterrupted, error-free, or completely secure. No technology is 100% secure, and we cannot guarantee that unauthorized third parties will never be able to defeat our security measures.

10 Indemnification

You agree to indemnify, defend, and hold harmless Bastion Forge, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Services in violation of these Terms
• Your violation of any applicable law or third-party rights
• Any data you store on the Bastion Forge platform
• Your failure to comply with HIPAA, FINRA, SEC, or other applicable regulations

11 Termination

By You: You may cancel your subscription at any time by contacting us at Xavier@bastionforge.tech. Cancellation takes effect at the end of your current billing period. Your data will be retained for 30 days following cancellation, after which it will be deleted in accordance with our data retention policy.

By Bastion Forge: We may suspend or terminate your account immediately if you violate these Terms, fail to pay fees when due, or engage in conduct that poses a security risk to our platform or other clients.

Effect of Termination: Upon termination, your right to access the Services ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property, limitation of liability, and dispute resolution provisions.

12 Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law provisions.

Any dispute arising from these Terms or your use of the Services shall first be addressed through good-faith negotiation between the parties. If negotiation fails, disputes shall be resolved through binding arbitration in Moultrie, Georgia, administered under the rules of the American Arbitration Association.

You waive any right to participate in a class action lawsuit or class-wide arbitration against Bastion Forge.

13 Changes to Terms

Bastion Forge reserves the right to modify these Terms at any time. We will provide notice of material changes by:

• Posting the updated Terms on bastionforge.tech with a new effective date
• Sending an email notification to your registered email address

Your continued use of the Services after the effective date of any modification constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must cancel your subscription before the effective date.
